# Terms of Service

Welcome to **vendospace.ug** (“Company”, “we”, “our”, “us”). These Terms of Service (“Terms”) govern your access to and use of our multi-tenant SaaS platform, including your workspace, website, digital storefront, AI assistant, and integrations (collectively, the “Platform”).
By creating an account, accessing, or using the Platform, you (“Tenant”, “Customer”, “you”) agree to be bound by these Terms.
1. Eligibility & Account
You must be at least 18 years old and legally capable of entering into contracts. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.
2. Early Adopter & Beta Services
Certain features may be provided in a “Beta” or “Early Adopter” phase.
* **As-Is:** The Platform may contain bugs or errors and may experience interruptions or data loss.
* **Beta Pricing:** Any discounts or waived fees are provided in exchange for participation during development.
3. License & Platform Ownership
We grant you a limited, non-exclusive, non-transferable, revocable license to use the Platform.
We retain all rights, title, and interest in:
* the Platform
* software, code, architecture, and design
* AI systems and integrations
You do not acquire ownership of any part of the Platform.
4. Feedback
If you provide feedback, suggestions, or ideas:
* you grant us a perpetual, irrevocable, royalty-free license to use it
* you waive any claims to ownership, compensation, or attribution
5. Tenant Data & Content
# 5.1 Ownership
You retain ownership of:
* your products, services, pricing, and content
* customer data you collect
# 5.2 License to Us
You grant us a non-exclusive license to:
* host
* process
* display
your data solely to operate the Platform.
6. Acceptable Use & Prohibited Activities
You agree NOT to use the Platform for:
* illegal or fraudulent activities
* sale of counterfeit goods
* scams, pyramid schemes, or deceptive practices
* unauthorized financial services or investments
* regulated goods without proper licensing
* money laundering or illegal payments
* distribution of malware or harmful code
* attempting to disrupt or exploit the Platform
We may suspend or terminate accounts for violations.
7. Leads, Customers & Transactions
The Platform facilitates customer inquiries and communication.
* You are solely responsible for:
* your products/services
* pricing accuracy
* customer interactions
* fulfilling orders
We are not a party to transactions between you and your customers.
8. Payments & Mobile Money (MoMo)
* Payments are processed via third-party providers
* We do not hold or control funds
* Split-payment mechanisms may apply
You are responsible for:
* correct payment details
* refunds, disputes, and chargebacks
We are not liable for:
* payment delays
* telecom failures
* gateway errors
9. AI Features
* AI outputs are automated and may be inaccurate
* You must verify all responses before relying on them
* You are responsible for all customer interactions
Misuse (e.g., scraping, overload, abuse) may result in suspension.
10. Service Availability
We aim for high uptime but do not guarantee uninterrupted service.
We may perform:
* maintenance
* updates
* emergency fixes
11. Data Retention & Deletion
* You are responsible for exporting your data
* We may delete data after account termination
* We are not obligated to store data indefinitely
12. Suspension & Termination
# By You:
You may cancel anytime (effective end of billing cycle).
# By Us:
We may suspend or terminate immediately for:
* violations
* fraud or risk
* harm to platform or users
We may also restrict access proactively if suspicious activity is detected.
13. Limitation of Liability
To the maximum extent permitted by law:
We are NOT liable for:
* indirect or consequential damages
* lost profits or data
* business interruption
Our total liability is limited to:
👉 fees paid by you in the last 3 months
14. Indemnification
You agree to defend and indemnify us against claims arising from:
* your use of the Platform
* your business activities
* your content
* your customer interactions
15. No Business Guarantee
We do not guarantee:
* sales
* leads
* customer acquisition
Results depend on your own efforts.
16. Governing Law
These Terms are governed by the laws of Uganda.
All disputes shall be resolved in Ugandan courts.
17. Changes to Terms
We may update these Terms at any time.
Continued use of the Platform means you accept the updated Terms.

# Data Processing Addendum (DPA)
This Data Processing Addendum (“DPA”) forms part of the Terms of Service between vendospace.ug (“Processor”) and the Tenant (“Controller”).
1. Roles
* Tenant = Data Controller
* vendospace.ug = Data Processor
For certain analytics and marketplace features, vendospace.ug may act as an independent Data Controller.
2. Subject Matter
Processing of customer data for:
* CRM functionality
* communication handling
* transaction facilitation
* analytics and platform improvement
3. Types of Data
* customer names
* phone numbers
* messages
* transaction details
* Product, service (catalog) details, including but not limited to product names, descriptions, pricing, images, availability, categories, and related commercial metadata ("Catalog Data")
4. Processing Activities
Processor will:
* store and host data
* process inquiries
* enable communication workflows
* generate analytics and insights
5. Marketplace, Catalog & Aggregated Data Use
Tenant acknowledges and agrees that:
- Processor may use Catalog Data for marketplace functionality, including listing, indexing, promotion, and discovery across tenants
- Processor may display Catalog Data to other users and potential buyers as part of the Platform
- Processor may use aggregated and anonymized data for analytics and platform improvement
- Processor may derive insights across tenants to:
- improve services
- power marketplace features
- enable recommendations
Customer personal data will not be disclosed or shared between tenants.
Catalog Data, being commercial in nature, may be used for platform-wide visibility and marketplace purposes.
6. Confidentiality
Processor shall ensure personnel accessing data are bound by confidentiality obligations.
7. Security Measures
Processor shall implement appropriate security measures including:
* access controls
* encryption where applicable
* monitoring and logging
8. Subprocessors
Processor may engage third-party providers (hosting, payments, analytics).
Tenant authorizes such use.
9. Data Subject Rights
Processor will assist Controller in responding to requests where feasible.
10. Data Retention & Deletion
Upon termination:
* data may be deleted after a defined period
* anonymized data may be retained
11. Liability
Liability is governed by the main Terms of Service.
12. Governing Law
Uganda law applies.
